Thrive Holdings Agrees $15.3bn ADT Takeover

American security provider ADT has agreed to be acquired by Thrive Holdings in a $15.3 billion transaction, signalling growing investor interest in established service businesses that can be expanded through technology.
Under the agreement announced on Thursday, ADT shareholders will receive $10 per share in cash, representing a 45.6% premium to the company's closing price on 27 October. The transaction values ADT's equity at approximately $7.6 billion, with the larger enterprise valuation including debt. Completion is expected in the first quarter of 2027, subject to shareholder and antitrust approvals.
Thrive Holdings, which owns businesses across accounting, information technology and other professional services, intends to use its engineering capabilities and long-term investment model to develop ADT's products and operations. The security company serves residential and small-business customers throughout the United States, supported by a nationwide network of technicians and monitoring services. Thrive has pledged to retain ADT's existing customer privacy protections, while financing commitments have been secured from funds affiliated with Apollo Global Management.
ADT will become privately held if the acquisition succeeds, allowing management to pursue investment without the same quarterly pressures associated with public ownership. The agreement also includes a period during which ADT may consider competing acquisition proposals. The deal illustrates the increasing appeal of businesses combining physical services, recurring customer relationships and opportunities for digital improvement. Its outcome will depend on whether Thrive can enhance ADT's established operations while maintaining customer confidence and service reliability.
